Worthy Endeavor: Vivos Closes $12 Million Stock Deal as Funding Pressure Persists

Vivos has closed a $12 million preferred-stock deal targeting stronger equity and new patient channels. Investors now face questions over Nasdaq compliance, commercial execution and further dilution.

Vivos Therapeutics (NASDAQ: VVOS) has closed a deal aimed at strengthening its balance sheet and opening new patient channels—but it brings no fresh cash.
The sleep-apnea device maker acquired an 11% stake in SOD Sciences and half-ownership of its pseudohypoxia early-warning test on October 19. Vivos paid with convertible preferred stock carrying a stated value of $12 million.
Management expects the transaction to add more than $10 million to stockholders’ equity, subject to final valuation and auditor review. Nasdaq must still determine whether Vivos meets its listing requirements.
The commercial opportunity includes potential access to American Health Associates’ 325,000-plus patients. However, marketing agreements remain unsigned, and the arrangements require bankruptcy court approval.
The funding challenge remains. Vivos reported approximately $1.8 million in cash at mid-year and said additional financing would be needed. The preferred stock could convert into up to 80 million common shares, subject to shareholder approval requirements and ownership limits, exposing existing investors to dilution.
What we’re watching: Nasdaq’s decision, the next cash update and signed marketing agreements. Can Vivos turn potential patient access into revenue before needing more capital?
This is not an investment recommendation.
