Marvell Makes a $115 Billion Bet on AI’s Next Bottleneck

Marvell’s planned acquisition of Lumentum puts optical connectivity at the center of the AI investment race, giving shareholders a major bet on the infrastructure needed to move data faster.

The AI spending race is producing another enormous deal, and this time the focus is on how quickly data can travel.
Marvell Technology has agreed to acquire optical components maker Lumentum in an all-stock transaction valued at approximately $115 billion, including debt. The combination would strengthen Marvell’s position in the connections that support increasingly powerful AI data centers.
Lumentum makes lasers and optical components used in communications networks and cloud infrastructure. These products address a growing challenge: powerful processors need fast connections to exchange information efficiently.
That makes the technology an important part of the AI buildout. Adding computing power delivers less value if the surrounding network cannot keep up.
For Marvell, the acquisition could also sharpen competition with Broadcom by bringing more of the infrastructure customers need into one business.
Under the agreement, Lumentum shareholders would receive 4.5 Marvell shares for each share they own and hold approximately one-third of the combined company. Closing is expected in the first half of 2028.
The stock-based structure gives investors on both sides exposure to the combined business. It also means the value Lumentum shareholders ultimately receive will move with Marvell’s share price.
Our assessment is that the strategic logic rests on a demanding assumption: spending on AI infrastructure must remain strong enough to support the investment.
A larger product portfolio could help Marvell win more business. Turning that opportunity into attractive shareholder returns will depend on execution, pricing and the cost of bringing the companies together.
Investor Take: This deal puts optical connectivity firmly on investors’ radar. Watch customer spending commitments, the approval process and evidence that the combination can improve earnings and cash generation. A growing market creates opportunity, but the purchase price raises the standard Marvell must meet.
