Ultralife shares surged more than 145% after EnerSys announced a $320 million all-cash acquisition at a 166% premium. Investors are now watching regulatory approvals and the expected 2027 closing.

Ultralife Corporation (NASDAQ: ULBI) has agreed to a $320 million all-cash takeover by EnerSys, sending its shares soaring as investors react to the substantial acquisition premium.

On October 27, Ultralife announced that EnerSys would acquire the company for $16 per share in cash, representing a 166% premium to its October 26 closing price of $6.01.

Shares surged more than 145%, closing at $15.61 on October 28, with approximately 2.5 million shares traded.

Ultralife develops specialized batteries, power systems and communications equipment for defence, medical and industrial applications. The acquisition would strengthen EnerSys's position in military technology, including drones, autonomous systems and soldier power equipment.

Both companies' boards unanimously approved the transaction. EnerSys plans to fund the acquisition using existing cash, with no financing contingency.

However, the deal is not yet complete. The tender offer has not commenced, and closing remains subject to regulatory approvals and a majority of Ultralife shares being tendered. Completion is expected in the first quarter of 2027.

With shares trading just below the $16 offer price, investors are now focused on whether the acquisition closes as planned.

What we're watching: The launch of the tender offer, regulatory approvals and progress toward the expected 2027 closing. Will Ultralife shareholders receive the full $16 per share, or could delays and deal risks affect the outcome?
